1. Acceptance of Terms

By accessing or using the website at qorvenz.com or engaging Qorvenz Technologies (Pvt) Ltd ('Qorvenz', 'we', 'us', or 'our') for any services, you agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use our website or services.

These Terms apply to all visitors, clients, and others who access or use our services. We reserve the right to update these Terms at any time, and continued use of our services constitutes acceptance of any changes.

2. Services

Qorvenz Technologies provides technology services including but not limited to AI and automation development, software engineering, mobile application development, SaaS development, enterprise systems, e-commerce solutions, education technology platforms, and technology consulting.

All service engagements are governed by separate written agreements (statements of work, contracts, or proposals) between Qorvenz and the client. In the event of a conflict between these Terms and a signed agreement, the signed agreement shall prevail.

3. Intellectual Property

Unless otherwise agreed in writing, all intellectual property rights in deliverables created by Qorvenz for a client (including code, designs, documentation, and content) shall be transferred to the client upon full payment for the relevant project.

Qorvenz retains ownership of all pre-existing intellectual property, tools, frameworks, libraries, and methodologies used in delivering services. The website content, branding, and marketing materials of Qorvenz Technologies remain the sole property of Qorvenz and may not be reproduced without written consent.

4. Client Responsibilities

Clients are responsible for providing accurate and complete information necessary for project delivery, responding to queries and review requests in a timely manner, and obtaining any third-party licenses or approvals required for their projects.

Clients must not use our services for any unlawful purpose, to infringe intellectual property rights, to transmit malicious code, or to engage in any activity that disrupts or damages our systems or those of third parties.

5. Payment Terms

Payment terms are specified in individual project agreements. Unless otherwise agreed, invoices are due within 14 days of issue. Late payments may incur interest at 1.5% per month or the maximum rate permitted by law, whichever is lower.

Qorvenz reserves the right to suspend or terminate services for non-payment. All fees are non-refundable unless otherwise expressly stated in the project agreement.

6. Confidentiality

Both parties agree to keep confidential any non-public business information shared during an engagement. This obligation continues for 3 years after the termination of the engagement. Confidentiality does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

7. Limitation of Liability

To the maximum extent permitted by applicable law, Qorvenz Technologies shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of our services, even if advised of the possibility of such damages.

Our total liability to you for any claims arising from our services shall not exceed the total fees paid by you to Qorvenz in the three months preceding the claim.

8. Warranties & Disclaimers

Qorvenz warrants that services will be performed with reasonable skill and care. We do not warrant that software will be error-free or that it will operate without interruption.

The website and its content are provided 'as is' without any warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

9. Third-Party Links & Services

Our website may contain links to third-party websites or reference third-party tools and services. These are provided for convenience only. Qorvenz is not responsible for the content, privacy practices, or terms of any third-party sites or services.

10. Termination

Either party may terminate a service engagement by providing written notice as specified in the project agreement. Upon termination, all fees for work completed to date become immediately due and payable.

Qorvenz reserves the right to terminate services immediately for breach of these Terms, non-payment, or conduct harmful to Qorvenz or third parties.

11. Governing Law & Dispute Resolution

These Terms and any disputes arising from them shall be governed by the laws of the Democratic Socialist Republic of Sri Lanka. Any disputes shall first be addressed through good-faith negotiation between the parties.

If negotiation fails, disputes shall be submitted to binding arbitration in Colombo, Sri Lanka, in accordance with the applicable arbitration rules. Notwithstanding this, either party may seek injunctive relief in a court of competent jurisdiction.

12. Changes to These Terms

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated 'Last Updated' date. Your continued use of our website or services after any changes constitutes your acceptance of the revised Terms.
